Overview

Services

Uniweb Digital LLC (“Company") provides services as detailed in the Statement of Work (SOW). Websites are built on platforms like Squarespace, with customizations, but platform limitations may apply. Browser testing ensures an appropriate user experience on the latest versions of Chrome, Firefox, and Safari (desktop and mobile).

Company is not liable for issues caused by platform updates.

Client Obligations

Client shall pay fees as outlined in the Scope of Work (SOW). Client shall provide timely information and materials in requested formats. Client shall respond to communications within 14 business days. Feedback and revisions must be documented in writing. Client certifies that provided materials do not infringe on intellectual property rights.

Term and Termination

The Agreement term is one year and is renewable. Termination requires 7 days' written notice. Fees are non-refundable after work commences. Force Majeure events may excuse performance delays.

4. Intellectual Property

Client owns delivered work used for their business, subject to full payment. Company retains portfolio rights (unless Client objects beforehand). Unused deliverables remain Company property. Client indemnifies Company against infringement claims.

5. Limitation of Liability

Neither party is liable for indirect, consequential, or special damages. Liability is limited to fees paid under the Agreement.

6. Warranties

Parties warrant their authority to enter the Agreement. No guarantees of specific outcomes are provided.

7. Confidentiality

Company maintains strict confidentiality of Client information.

8. Independent Contractor

Company is an independent contractor, not Client's employee. Company may use subcontractors bound by this Agreement.

9. Governing Law and Dispute Resolution

Washington law governs this Agreement. Disputes are subject to mediation prior to litigation.

10. Survivorship

Provisions intended to survive termination remain in effect.

11. Assignment

Client may assign rights only to wholly-owned subsidiaries.

12. General Provisions

Headings are for convenience only. There are no implied waivers. This is the entire agreement. Amendments must be in writing. Severability applies. Notices must be in writing.
